You agree and acknowledge that you have read the terms and conditions set forth below along with the Privacy Policy provided on the website “www.invact.com”. If you do not agree to these terms of Use or do not wish to be bound by these terms and use and/or Privacy Policy, you may not use the Services and/or immediately terminate the Services and/or uninstall the mobile application. We may amend the terms and conditions at any time by posting an updated version at Invact website(s), Invact Application(s) or Invact Platform(s). The updated version of the Terms of Use shall take effect immediately upon posting. It is Your responsibility to review these Terms of Use periodically for updates/changes. Your continued use of Invact Website(s), Application(s) and/or Platform(s) following the posting of changes will mean that You accept and agree to the revisions including additional Terms or removal of portions of these Terms, modifications etc.
As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and avail the Services. USING INVACT WEBSITE(S), APPLICATION(S), PLATFORM(S), SERVICES INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS SPECIFIED HEREIN AND THE PRIVACY POLICY, SO PLEASE CAREFULLY READ THE TERMS OF USE AND PRIVACY POLICY BEFORE PROCEEDING. By expressly or impliedly accepting these Terms of Use, You also accept and agree to be bound by INVACT Policies (including but not limited to Privacy Policy, Terms of Use) available on the INVACT Website(s) and Application(s), Platform(s) as amended from time to time.
“We”, “Us”, “Our”, “Company”, “Invact” - shall refer to Invact School Private Limited and its entities; “You”, “Yours”, “User”, “Yourself”, “Invact User” - refers to any non-registered individual or corporate body, registered user of Invact and Invact entities, including but not limited to Invact customers or Business Partners; Business Partners – Shall refer to any individual, group of individuals with whom Invact or Invact Entities have a contractual relationship and not limited to Educational Institutes, Colleges, Schools, Individual, Teachers, Ed-Tech Companies, Advertisers, Deal partners, Financial institutions, etc.; Code of Conduct - Shall mean the code of conduct required to be followed by all the Students enrolled for various courses/programs/seminars/other services offered by Invact.
The Code of Conduct is amended from time to time without any advance notice and it shall be presumed that You review the Code of Conduct on regular basis; “Content/Invact Content” means any and all information and data, which may include but not be limited to text, software, scripts, graphics, maps, photos, sounds, music, projects, course, program, assignments, presentations, lectures, conversations in the virtual space, videos, logos, offers, advertisements, virtual classes, interactive features, video lessons, quizzes, homework assignments, programming assignments, programs, code, and other images, text, layouts, arrangements, displays, illustrations, documents, materials, audio and video clips, HTML and files and other materials available on Invact Application, Invact Platform and Invact Website.
Force Majeure shall mean any event that is beyond the reasonable control of the Invact and shall include but not be limited to war, riots, fire, flood, acts of god, explosion, strikes, lockouts, satellite failure, civil commotion, slowdowns, prolonged shortage of energy supplies, pandemic, computer hacking, man-made disasters, unauthorized access to computer data and storage devices, computer/server crashes, acts of state, governmental, legal or regulatory actions prohibiting or impeding Invact or Invact Entities from performing its respective obligations. “Application/Invact Application” means the mobile or web application(s), hosted by Invact and/or Invact entities for providing Invact services to its users; “Website/Invact Website” refer to www.invact.com which is registered by Invact and used as a medium to communicate and inform users of services provided by Invact and/or Invact Entities; Invact Entities” shall mean group, affiliates, associates and subsidiaries of Invact; “Platform/Invact Platform” refers to any platform owned by Invact or any other Invact Entities not limited to websites, mobile applications, web application, AR applications, devices, URLs/links, notifications, chatbot or any other communication medium used by Invact and/or Invact Entities to provide its services to the Users; Services/Invact Services shall include all services extended / to be extended by Invact and/or Invact Entities as a group including but not limited to various virtual courses, programmes, seminars, assignments, simulation tests/evaluations, placement evaluations, and all other services that are provided by Invact through Application, Website and Platforms; Service Providers shall mean any individual, group of individuals whose services are used by Invact or Invact Entities in order to provide the intended Services to You through Website, Application or Platform; “Terms of use”/”Terms and Conditions/Terms”- are interchangeably used and shall have the same meaning.
By accessing Services of Invact through Website, Application and/or Platform, You represent that:- You are 18 years of age or older. In case you are below 18 years it is presumed/implied/deemed that you are doing it under the consent of your legal guardian; You are capable of entering into a contract /legally binding agreement either directly or through your legal guardian; You either directly or through your legal guardian have the right, authority and capability to enter into this Agreement abiding by all the provisions of the “terms of use” of Invact Services. You are not barred or otherwise legally prohibited from accessing or using services of Invact or Invact Entities under the laws of India. You are not impersonating any person or entity, or falsely stating your age or affiliation with any person or entity. Invact and Invact Entities shall reserve the right to terminate your contract to use any Invact Services through Website, Application, Platform in case of any incorrect representation of the above-mentioned conditions. All documents and information submitted by You for any Invact Services through Website, Platform, Application are true, correct, authentic and belong to You.
Whether you have enrolled for any Invact Services or are simply browsing the Website, Application, Platform, once you have accessed the Website, Application, Platform and/or any Invact Services you shall be considered a ‘user’ for the purpose of these Terms and Conditions. In order to participate in the Invact Services you will need to register for a personal account (“User Account”) by undergoing the process of registration and creating credentials such as User ID, password that is unique. Upon payment of applicable fees for the respective Invact Services in part or whole, depending on the options available for the respective Invact Service, you shall abide by these terms and/or Code of Conduct and/or any other terms for the respective Invact Service and Invact will grant you access to the said Invact Service. The invoice will be provided to you and the email confirmation. This shall be a proof of payment against the successful payment of fees. Owing to certain exceptional circumstances, if Invact has granted you access to any Service pending payment and Invact does not receive payments within the stipulated time periods, Invact may, at its sole discretion, withdraw your access to Website, Platform, Application and/or Invact Services without giving any prior notice. You agree that You will never divulge or share access to Your User Account (User ID and/or Password and/or any other credentials) with any third party for any reason whatsoever.
You also agree that You will create, use and/or access only one User Account and that You will not use any User Account other than Your own. In setting up your User Account, You may be prompted or required to enter additional information, including but not limited to your name, email address, mobile number and LinkedIn account details. Additional information and/or documents may be required to confirm your identity. You understand and agree that all information provided by You is accurate, current and complete and that You will maintain and update your information to keep it accurate, current and complete. You acknowledge that if any information provided by You is untrue, inaccurate, not current or incomplete, we reserve the right to terminate Your use of the Invact Service and/or Platform, Website, Application and Your enrolment into Invact Services, to the extent applicable. In addition to the registration process, as part of Your use of the Website, Application, Platform or participation in the Invact Services, we will obtain certain information about You and Your performance while availing the Invact Services.
Some of this information may be Personally Identifiable Information. We may use, maintain and store this information to provide certain services to You now and in the future and may share such information with our Business Partners or your prospective employers or third parties in conjunction with such services or for the purpose of marketing. For example, as further detailed in our Privacy Policy, we may share certain materials or information about You with third parties, including your grades/scores/assignments/projects while participating in Invact Services. Irrespective of the fact if You have also registered yourself under DND or DNC or NCPR service, you still authorize us to give You a call from us or any third party for the above-mentioned purposes.Access to the Invact Service is restricted to attendees or students who have specifically been granted access by Invact. By registering Your User Account, you agree that: 1. You are registered for the Service only once and will not set up multiple User Accounts; and 2. You will abide by these Terms and any other terms specific and/or Code of Conduct to the respective Invact Service availed by You.
If you are enrolled to any of the Invact Services, as Student, in addition to the points above, You agree that You are registering with the intent to complete the entire course and assignments therein, that are relevant and applicable to the respective Invact Service into which You have enrolled. There are certain products that Invact may recommend to purchase in order to get better experience in learning and participating in Invact services. The User understands and acknowledges that there is no return of these products once the same is Order with Invact. You acknowledge that Invact is not the manufacturer of the instrument/medium/hardware and hence any defect relating to the same shall be reported directly to the manufacturer whose details shall be specified on the packaging and Invact shall not be in any manner responsible for the same. Invact does not provide any guarantee or warranty relating to the instrument/medium/hardware. We request You not to accept any product(s) package that seems to be tampered with, opened or damaged at the time of delivery. The User takes the absolute responsibility to receive the product and use it post reading the user manual.
The enrollment into any Services of Invact is NON-TRANSFERABLE and the amount paid for any Service of Invact is NON-REFUNDABLE. Once you enroll for our Services, You cannot cancel the enrollment and the amount paid towards enrollment of respective Services is non refundable. Hence, we request You to evaluate appropriately before enrollment and take an informed decision. Unless otherwise expressly agreed in writing by Invact, full payment for participation in a Services is required at the time of registration. It is the sole responsibility of the User enrolling into a respective Service to check the accuracy of and evaluate the suitability and relevance of the Services selected by the User. To make payment for any Service or to purchase any services or products offered by Invact through the Website, Application, Platform, You must have internet access and a current valid accepted payment methods like debit card, credit card, internet banking etc. ("Payment Method").
Invact does not store any of your credit/debit card or internet banking information or such other information restricted by the Reserve Bank of India (RBI) for processing payment and has partnered with payment gateways for the payment towards the services. By using a third-party payment provider, You agree to abide by the terms of such a payment provider. You agree that in case Invact’s third-party payment provider stores any such information, Invact shall not be responsible for such storage and it will be solely at Your discretion to allow the third party to store such information. Any loss of such information or any loss incurred by You due to the usage of such information will be solely a loss incurred by You and Invact is in no way liable for any such losses and is neither responsible to reimburse / make good such losses in any manner whatsoever. You also agree to pay the applicable fees for the payments made through the third party payment provider’s platform. You agree that in case any amount is transferred erroneously by You to any merchant or payment gateway service provider or any other person, Invact shall not be liable to refund such amount to You under any circumstances.

Failure to pay the applicable fee for respective Services may result in withdrawal of Your access to the Services. Depending on where You transact with us, the type of payment method used and where Your payment was issued, Your transaction with us may be subject to foreign exchange fees or exchange rates. Invact does not support all payment methods, currencies or locations for payment. All applicable taxes are calculated based on the billing information You provide to us at the time of enrolment/purchase of Services. Once you enroll for our Services, You cannot cancel the enrollment and the amount paid towards enrollment of respective Services is non refundable. Hence, we request you to evaluate appropriately and take an informed decision.
Invact reserves the right to cancel or reschedule any course, program, services, live lectures/webinars or to alter, modify or rearrange the schedule of topics, as well as the point value or weight of assignments, tests, quizzes, exams, projects and other such evaluations of progress. You also understand that Invact, at its sole discretion, may limit, suspend, or terminate Your use of the Website, Platform or Application and/or all Invact provided services related to the course, programs, such as access to Invact access to metaversity, coaches or support services, evaluation services, or certifications or any other service provided therein. You also understand that Invact may modify or discontinue any or all Services related to its course, programs or any other Service at its sole discretion. You agree that Invact shall not be liable to You or to any third party for any such modification, suspension or discontinuance. Nothing in these Terms shall be construed to obligate Invact to maintain and support the Website, Platform or Application or any part or portion thereof or any associated services. You agree that Invact shall be under no liability whatsoever to You in the event of non-availability of the Website, Application, Platform or any portion thereof occasioned by Force Majeure.
Subject to the applicable refund policy, if you no longer wish to use any Services through Website, Application, Platform, You may terminate your participation by giving a prior notice to Invact. Participants of Invact online live lectures, courses, programs and webinars shall be provided access through the Website, Platform or Application or via email. You agree not to share such access with any third party. If you are unable to attend an online live lecture/webinar please provide Invact with prior intimation regarding this. It is clarified that there is no refund of any payment in case You voluntarily terminate and/or stop availing the Services.You shall be exclusively responsible for obtaining and maintaining any equipment or ancillary Services needed to connect to access, receive or use Website, Platform, Application, including, without limitation, hardware devices, software and other internet, wireless, broadband, phone, VR headsets and/or other mobile communication device connection services. You shall be exclusively responsible for ensuring that such equipment or ancillary services are compatible with the Website, Platform, Application and You shall be responsible for all charges incurred in connection with the use of the Website, Platform, Application in connection with all such equipment and ancillary services.
The contents of the Application/Website/Platform and/or Services and/or any course, seminar, events are developed on the expected skills for job evaluation and concepts covered in the structured curriculum syllabus prescribed for students of various courses. The usage of the Application/Website/Platform and/or Services and/or any course, seminar, events is not endorsed as a substitution to the curriculum based education provided by the educational institutions but is intended to supplement the same by explaining and presenting the concepts in a manner enabling easy understanding and also increasing the possibility of better performance in a job evaluation. The basic definitions and formulae of the subject matter would remain the same. Invact acknowledges that there are various means of delivering structured curriculum pedagogy and inclusion of methods in the Application/Website/Platform and/or Services does not imply endorsement of any particular method nor exclusion imply disapproval.
Enrolling for any Service through Application/Website/Platform does not in any manner guarantee a job or passing of any exams or achievement of any specified percentage of marks in any examinations. Invact and/or Invact Entities may, based on any form of access to the Application, Platform, Website (including free download/trials, if any and specified categorically) or Services or registrations through any source whatsoever, contact the User through sms, email and call, to give information about our offerings and products as well as notifications on various important updates and/or to seek permission for demonstration of our products. The User expressly grants such permission to contact him/her through telephone, SMS, email and holds Invact (including but not limited to Invact Entities) indemnified against any liabilities including financial penalties, damages, expenses in case the User's mobile number is registered with Do not Call (DNC) database. By registering yourself, you agree to make your contact details available to us so that you may be contacted for education information, offerings and promotions through telephone, SMS, email etc.
Invact is NEITHER a university NOR has any affiliation, accredited with any university/association. Invact is an education service provider offering courses, programs on its own as well as in consultation with Indian and International universities, educational institutions, governmental authorities, NGOs, corporates, etc. (each an “Educational Partner”). There are few courses/programs/seminars that are directly provided by Invact which shall be specified in the respective course/program/seminar. However, Invact may also partner with Educational Partners and give an option for You to participate in the course/program/seminar available of the respective Educational Partner. Any admission to the degree/diploma programs of an Educational Partner is separate from being accepted into and/or taking one or more programs/courses/seminars that are provided directly by Invact.
You agree and acknowledge that nothing in these Terms or otherwise with respect to the use of the Invact Website, Platform or Application or any Program: (a) enrolls or registers You in an Educational Partner, or any other school, division, institute or program of or associated with an Educational Partner, and (b) allows You to access or use the resources or receive any benefits or privileges of any Educational Partner, beyond the Programs.
Invact may offer credentials or other acknowledgement for participants who have satisfactorily demonstrated mastery of the Program provided by their Educational Partners. The decision to award any such credential and/or acknowledgement to a given participant for any Educational Partner’s program will be solely at the discretion of Invact. Invact may choose not to offer any credential or other acknowledgement for programs provided by Educational Partners. Invact may decide at its sole discretion whether to provide a record concerning a participant’s performance in a program provided by Educational Partners. The format of any credential or other acknowledgement and of any performance, provided by Invact relating to programs provided by Educational Partners will be determined by Invact at its sole discretion and may vary from program to program. In cases where Invact directly provides any programs/courses/seminars, then Invact may as per the evaluation process issue a completion certificate and give credentials or other acknowledgment as per the course/program/seminar.
However, the decision of Invact on the credentials/certificates/acknowledgment for such programs/courses/seminars shall be final and binding. In cases where the program/course/seminars is provided by Educational Partners, then You will be awarded a certificate of successful completion of a Program (“Program Certificate”) only upon fulfilling the criteria and requirements of the respective Educational Partners and Invact. You acknowledge that any such Program Certificate if awarded by Invact may not be affiliated to any Educational Partner and may not stand in the place of a course taken with an Educational Partner or convey academic credit or certification for any Educational Partner. You will not receive academic credit from Invact or any other Educational Partner for taking a Program/course/seminar. If you are taking a Program for academic credit or certification as a student of or otherwise through an Educational Partner, any such credit or certification may only be awarded directly by the Educational Partner based on its own policies and procedures and You may be required by that Educational Partner to be registered or enrolled with the Educational Partner in order to receive credit or certification; and, in any event, Invact will not have any authority or responsibility with respect to any award of academic credit or certification provided by an Educational Partner for respective program.
You acknowledge and agree that any Program affiliated with an Educational Partner may be subject to the terms, policies and procedures of the applicable Educational Partner in addition to Invact’s Terms. Without limiting the foregoing, if You are a student registered or enrolled at or are otherwise attending, an Educational Partner and are taking a program for credit or certification through that Educational Partner, You acknowledge and agree that (a) the Educational Partner may have its own terms, policies or procedures regarding your eligibility to participate in the Program, your participation in the Program, the requirements or prerequisites for receiving credit or certification for the Program, and/or your educational or student records as they may relate to your participation and performance in the Program, and (b) Your educational or student records are maintained by the Educational Partner, including for purposes of assigning credit or certification, and not by Invact.
Invact respects third-party intellectual property rights and actively supports protection of all third-party intellectual property including copyrights and trademarks (“3rd Party IP”). It is our policy to expeditiously respond to clear notices of alleged IP infringement. If we receive proper notification of 3rd Party IP infringement, we will immediately evaluate and if it infringes our response to such notices will include removing or disabling access to material claimed to be the subject of infringing activity. Invact shall not be held liable for the unauthorized use of any 3rd Party IP and the user that carries out such unauthorized use or infringes any IP available on the Platform, Application, Website shall fully indemnify and hold Invact harmless against any and all claims that may arise as a result of such use.
You agree not to incorporate the word “Invact” and/or Invact marks/trademarks/any other Invact intellectual property into Your works, presentations, trademarks, service marks, company name, internet addresses, domain names or any other similar designations, unless You receive express prior written approval from Invact towards the same. You may not remove, modify, change or alter any Invact intellectual property or co-brand your services or material with any of the Invact intellectual property. If you believe that your product or other work has been misrepresented or used in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide us with the following information: An electronic or physical signature of the person authorized to act on behalf of the owner of the product, copyright or other intellectual property interest; A description of the product, work or other intellectual property that you claim has been misrepresented or infringed; A description of where the material that you claim is misrepresenting or infringing your product, work or other intellectual property is located on the Platform/Application/Website; Your address, telephone number, and email address; A statement by You that you have a good faith belief that the disputed use is not authorized by the owner of the product, work, copyright or intellectual property, or its agent, or applicable law; and A statement by You, made under the penalty of perjury, that the aforementioned information in your notice is accurate and that you are the product, work, copyright or intellectual property owner or authorized to act on such owner's behalf. The services on the Platform, Application, Website are licensed for limited use and are not sold or assigned. In consideration for your agreement to these Terms of Use, Invact grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Platform, Application, Website, Services and Invact Content solely in accordance with the Terms of Use and Privacy Policy. On completion of the Service, Invact at its sole discretion shall deactivate your account and/or give limited access to specific content or activities. You may wherever specifically mentioned and/or allowed may download the portions of the Invact Content available on the Platform, Website, Application for your own non-commercial and personal use only, provided you maintain all copyright and other notices contained in such Invact Content. You shall not copy, sell, resell, reproduce, publish, modify, transfer, retransmit, distribute, commercially exploit or create derivative works of Platforms, Website, Application and/or Invact Content. Notwithstanding the foregoing, certain reference documents, digital textbooks and/or articles may be made available to You with the permission of 3rd parties and use of that information is subject to certain rules and conditions by such respective 3rd parties and You agree to abide by all such rules and conditions. You shall not reverse-engineer, decompile, disassemble or otherwise access the source code for any software that may be used to operate the Platform, Website, Application and/or the Invact Content.
From time to time, Invact may include software, code, instructions and/or other such information in the Invact Content and any such information is provided on an "as-is" basis for instructional purposes only and is subject to the ‘Disclaimer’ and ‘Limitation of Liability’ sections below and other terms herein. Any use of such information for commercial purposes is strictly prohibited. Invact and/or Invact Entities and/or licensors reserve all rights not expressly granted herein to the Platforms, Website, Application, Invact Content and Invact Marks. Without limiting the generality of the terms above, the following are types of uses that Invact expressly defines as falling outside of the definition of "non-commercial and personal use": the sale or rental of (i) any part of the Invact Content, (ii) any derivative works based at least in part on the Invact Content, or (iii) any collective work that includes any part of the Invact Content;the sale of access or a link to any part of the Invact Content; providing training, support, or editorial services that use or reference the Invact Content in exchange for a fee or otherwise;the use of Invact Content by a college, university, school, or other educational institution for instruction, private tuitions or any other mode of education where they charge tuition Fees or Fees under any other name/title; the use of Invact Content by a for-profit corporation or non-profit entity for internal professional development or training; and the use of Invact Content for display / upload / making available at a place that is accessible to the general public in any manner, including but not limited to any social media sites, video download sites, and torrents.
The Platform, Website, Application may allow You to upload assignments, presentations, forum posts, chat with other users and Invact counselors, user discussions, profile pages, video and audio during virtual classes and other content and media for social interaction or certain information and materials for use, evaluation, feedback during the Program or course/seminars and/or Services e.g., questions, hypotheticals, examples, assignments, presentations, industry projects, video and/or audio while attending virtual class, video and audio of conversations in virtual space/library/canteen and other virtual areas etc. (collectively "User Content"). You hereby absolutely, exclusively, royalty free, for the entire world across all media platforms, perpetually, irrevocably assign the User Content to Invact. Accordingly, in line with the assignment made by You to Invact as above, Invact will continue to use the said User Content for inclusion on the Platform, Application or Website even after You terminate/discontinue/withdraw from using Services of Invact.
By submitting content, opinions, views, assignments, presentations or any other content (Your Material), You assign us absolute a worldwide, perpetual, irrevocable, exclusive, royalty free, Your Material and acknowledge and understand that such assignment shall give us a right to reproduce, process, adapt, modify, publish, transmit, display and distribute such Your Material in any and all media or distribution methods (now known or later developed) and to associate Your Material with You at Invact sole discretion. You agree that others may use Your Material in the same way as any other Content available through the Platform, Website, Application. You also understand that even if you delete your User account, “Your Material” and name may continue to be available on the Platform, Application, Website. With respect to any User Content that You submit via the Platform, Application, Website or otherwise made available to Invact, You hereby grant Invact an irrevocable, worldwide, perpetual, royalty-free and exclusive license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such User Content on the Platform, Application, Website or in the course and/or Services or otherwise utilize the User Content, with the right to sublicense such rights (to multiple tiers), for any purpose (including for any commercial purpose).
Invact reserves the right to remove any User Content at any time and for any reason as Invact deems appropriate. To the extent that You provide any User Content, you represent and warrant that (a) you have all necessary rights, licenses and/or clearances to provide such User Content and permit Invact to use such User Content as provided above, (b) such User Content is accurate and reasonably complete, (c) as between you and Invact, you shall be responsible for the payment of any third-party fees related to the provision and use of such User Content, and (d) such User Content does not and will not infringe or misappropriate any third-party rights or constitute a fraudulent statement or misrepresentation or unfair business practices. Invact does not control the User Content posted through the Platform, Application, Website including any messages, reviews or comments and does not guarantee the accuracy, integrity or quality of such User Content. Under no circumstances will Invact be liable in any way for any User Content, including any errors or omissions, or any loss or damage or defamation of any kind incurred as a result of your posting or use of any User Content. You are responsible for complying with all the laws applicable to the User Content.
You are prohibited from posting the following content on the Platform, Website, Application: fraudulent, indecent, or libelous or defames, harasses, discriminates against, harms or threatens others; discusses illegal activities, with the intent to commit them; infringes or misappropriates patents, trademarks, trade secrets, right of publicity, or other intellectual property rights of 3rd parties; content that you do not have the right to disclose; Profane, pornographic, obscene, indecent or unlawful content; Advertising or any form of commercial solicitation; content related to partisan political activities, hurts the religious sentiments of any person; content that contains intentionally inaccurate information or that is posted with the intent of misleading others; Viruses, Trojan horses, worms, time bombs, cancelbots, or other disabling devices or other harmful components intended to or that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information; content that consists of any high volume, automated, or electronic means to access the Platform (including without limitation robots, spiders or scripts); Content that violates the rights of other users of the Platform, Website, Application; Content that violates any applicable local, state, national or international law or otherwise advocates or encourages any illegal activity.
You are prohibited from violating or attempting to violate the security of the Application, Websites, Platform or any other associate Platform, Application, Website of Invact, including, without limitation, (a) accessing data not intended for such user or logging onto a server or an account that the user is not authorized to access; (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorisation; (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Platform, overloading, "flooding," "spamming," "mailbombing" or "crashing;" (d) sending unsolicited emails, including promotions and/or advertising of products or services; or (e) forging any TCP/IP packet header or any part of the header information in any email or newsgroup posting. Violations of system or network security may result in civil or criminal liability. Invact will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Platform, Website, Application or any activity being conducted on the Platform, Website, Application. You agree, further, not to use or attempt to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Platform, Website, Application other than the search engine and search agents available from Invact on the Platform, Website, Application and other than generally available 3rd web browsers (e.g., Google Chrome or Microsoft Explorer).
PLEASE NOTE THAT INVACT UNDER NO CIRCUMSTANCES PRESENTS ITSELF AS AN ACCREDITED UNIVERSITY OR ANY ASSOCIATION/AFFILIATION WITH ANY UNDERVERSITY AND/OR COLLEGE NOR THE EDUCATIONAL COURSES PROVIDED BY INVACT ARE IN ANY NATURE EQUIVALENT TO ANY PROFESSIONAL AGREE OR HAVE BEEN APPROVED AS CREDIT EQUIVALENCY BY ANY EDUCATIONAL AUTHORITY. Invact reserves the right at its sole discretion to remove, use, review, edit or delete any such content. Further, Invact shall not be responsible for such opinions or any claims resulting from them. Further, Invact makes no warranties or representations whatsoever regarding the quality, content, completeness, or adequacy of such information and data. You agree that Invact, in its sole discretion, may deactivate your account or otherwise terminate your use of the Platform, Website, Application or enrolment to a course and/or Services with or without reason, including, without limitation, if Invact believes that you have (a) breached the Terms and conditions and/or Code of Conduct; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted unauthorized content on the Platform, Application, Website; or (d) violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct (e) completion of Services. You agree that any deactivation or termination of your access to the Platforms, Application, Website or any Services may be effected without prior notice to You and that Invact shall not be liable to You nor any third party as a consequence of termination of your account or enrolment into a course and/or Services. You also acknowledge that Invact may retain and store your information and/or User Content on Invact’s systems notwithstanding any termination of your account or enrollment into the course and/or Services.You agree that Invact, in its sole discretion, may deactivate your account or otherwise terminate your use of the Platform, Website, Application or enrolment to a course and/or Services with or without reason, including, without limitation, if Invact believes that you have (a) breached the Terms and conditions and/or Code of Conduct; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted unauthorized content on the Platform, Application, Website; or (d) violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct (e) completion of Services. Invact may freely transfer or assign any portion of its rights or delegate its obligations under these Terms or any course and/or Services specific terms. You shall not transfer or assign or by law or otherwise any portion of your rights or delegate your obligations under these Terms or any course specific terms without the prior written approval from Invact. These Terms or any course and/or Service specific terms shared with You shall be governed by, construed and enforced in accordance with the laws in India, as these are applied to agreements entered into and to be performed entirely within India and without giving effect to any principles of conflict of laws. You agree that any legal lawsuit or other action brought by Invact, You or any third party to enforce these Terms or any course specific terms shared with You or in connection with any matters related to the Platform, Website, Application, course and/or Services, shall be subject only to the jurisdiction of the courts of Bengaluru, Karnataka. Where a dispute arises, the parties involved shall make all reasonable efforts to resolve the dispute through good faith negotiations. If efforts to amicably resolve any dispute or claim between the parties are unsuccessful, then such dispute or claim arising out of or in connection with the Terms or any course and/or Service specific terms shared with You, including any question regarding its existence, validity or termination, shall be referred to arbitration under the Arbitration and Conciliation Act, 1956, as amended (“Act”) before a sole arbitrator to be appointed by Invact from the list of independent arbitrators. The proceedings shall be conducted in English and the seat for arbitration shall be Bengaluru, Karnataka. If any provision of the Terms or any course and/or Service specific terms shared with You is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from the other provisions herein and shall not affect the validity and enforceability of any remaining provisions. Invact shall have no liability under these Terms or any course and/or Service specific terms shared with You, to the extent arising from any failure of Invact to perform any of its obligations under these Terms or any course and/or Service specific terms shared with You, due to any Force Majeure event.
The failure of Invact to exercise or enforce any right or provision of the Terms or any course and/or Service specific terms shared with You, shall not constitute a waiver of such right or provision. These Terms, the Privacy Policy or any course and/or Service specific terms shared with You constitute the entire agreement between You and Invact relating to the matters set forth herein and shall not be modified except in writing, as posted on the Platforms, Application, Website by Invact or through a specific written understanding between You and Invact. In the event if You feel that your concern has not been resolved to your satisfaction, you may contact our grievance officer, who shall endeavor to redress the concern within 15 (Fifteen Days) working days from the date of escalation.
